RWA Tokens: A Complex Web of Claims and Counterparty Risk

Real-world asset tokenization is one of the most widely discussed topics in crypto right now. However, most explanations stop at highlighting its potential and fail to delve into the complexities involved. In reality, an RWA token represents a claim on an off-chain asset, not the actual asset itself.

The process typically involves three steps: first, an issuer places the asset in a legal vehicle; second, tokens are minted on a blockchain corresponding to shares or fractional ownership of that vehicle; and third, token holders receive economic rights tied to the underlying asset. This distinction is crucial because it changes how RWA protocols should be evaluated.

The strength of the legal claim behind an RWA token varies greatly depending on its composition and custodian. For instance, a tokenized US Treasury backed by a regulated custodian holding actual T-bills is vastly different from a real estate token issued by a startup with a Cayman Islands SPV and no public audit.

The sector currently breaks down into four broad categories: tokenized government securities, tokenized private credit, tokenized real estate, and tokenized commodities and equities. Each category has its unique characteristics, risks, and use cases.
