The new rules provide clearer pathways for projects facing ambiguous securities treatment, with specific federal exemptions compared to traditional registration.
The SEC's proposed Regulation Crypto Assets would establish a tailored regime for certain investment contracts involving crypto assets. This framework combines tailored disclosures, exemptions, and a conditional safe harbor, which could shape SEC digital assets regulation for future token offerings.
Under the new rules, qualifying issuers may avoid separate securities qualification processes in multiple states, but they still need to comply with state laws on money transmission, banking, trust, consumer protection, lending, and custody.
