SEC Fails to Probe Alleged Illegality in Trump Crypto Deal

Alt5 Sigma, now rebranded as AI Financial Corporation (AiFi), has been at the center of controversy surrounding its deal with World Liberty Financial, a Trump family cryptocurrency venture. In August 2025, the two companies struck a deal that netted an estimated $500 million for President Donald Trump and his family.

The arrangement involved Alt5 issuing shares to buy $717 million worth of World Liberty cryptocurrency and transferring $750 million worth of tokens in return, with 75% of World Liberty's sales benefiting a company owned by the Trumps. However, the deal was met with a sharp drop in Alt5 stock share prices after its announcement.

A lawsuit filed by Bruce Bent, a major Canadian investor, alleged 'illegality,' 'unjust enrichment,' and 'avarice' in connection with the deal. The SEC has been asked to investigate whether Alt5 kept information secret from investors while raising money for the deal.
