SEC Proposes Crypto Rules with Exemptions for Token Issuances

The US Securities and Exchange Commission (SEC) has proposed a new regulatory framework for crypto assets. The proposal, which is open to public comment for 60 days, would exempt certain crypto companies from US securities rules. This move aims to make it easier for crypto companies to issue tokens and raise capital.

According to the SEC's chair, Paul Atkins, the agency seeks to provide 'crypto asset entrepreneurs and market participants with clear pathways to raise capital under the federal securities laws.' The proposal would allow a one-time exemption for crypto companies to issue up to $5 million in crypto tokens during a four-year period. It would also permit offerings of up to $75 million during each 12-month period, but issuers would still need to provide financial statements and meet regular reporting requirements.

The SEC's proposal includes a safe harbor that would exclude a crypto asset from being deemed an investment contract if certain conditions are met. The agency's plan is seen as a step towards providing clear rules for the digital asset market in the US. Industry groups, such as the Blockchain Association and The Digital Chamber, have welcomed the proposal.

However, some industry executives worry that without legislation, future administrations may seek to overturn or toughen up the SEC's rules.
