SEC Proposes New Regulations for Crypto Companies

The US Securities and Exchange Commission (SEC) has proposed new regulations for certain investment contracts linked to crypto assets. The 'Crypto Assets Regulation' aims to make it easier for crypto companies to raise capital in the U.S. and clarify which transactions are subject to federal securities laws.

According to SEC Chairman Paul S. Atkins, the proposal is designed to create more transparent avenues for raising capital under federal securities laws for crypto entrepreneurs and market participants.

The new regulation would establish two separate registration exemptions for crypto projects. The first exemption allows issuers to raise up to $5 million in funding over a four-year period with specific principle-based disclosures required. The second exemption permits companies to issue up to $75 million worth of securities each 12-month period, subject to ongoing reporting obligations and financial statement submissions.

The SEC's proposal also creates a 'safe haven' mechanism for crypto assets, allowing them to transition from investment contracts to a different legal status if certain conditions are met. This could pave the way for some crypto assets to change their legal classification as projects develop and dependence on the issuer diminishes.
