SEC Proposes New Rules for Crypto Assets with Exemptions for Smaller Projects

The US Securities and Exchange Commission (SEC) has proposed new rules called 'Regulation Crypto Assets' to create a tailored offering regime for certain investment contracts involving crypto assets.

This proposal follows the SEC's March 2026 interpretation, which clarified how federal securities laws apply to crypto assets and related transactions. Existing SEC disclosure rules were built for traditional securities (e.g., stocks and bonds) and do not suit crypto offerings.

The proposed rules would exempt issuers from full registration requirements if they meet certain conditions, such as providing 'principles-based narrative disclosures' in ten broad areas, including the investment contract itself, terms of the offering, and token economics.
