SEC Proposes Rules to Regulate Crypto Assets and Provide Clarity
The U.S. Securities and Exchange Commission (SEC) has proposed rules for the regulation of crypto assets, titled 'Regulation Crypto Assets.' This is a significant step towards providing clarity in the regulatory framework surrounding cryptocurrencies.
The proposal includes two exemptions from the registration requirements of the federal securities laws: the Startup Exemption and the Fundraising Exemption. The Startup Exemption would exempt offerings of up to $5 million from registration for up to four years, allowing small startups to raise capital without extensive disclosure requirements.
The Fundraising Exemption would exempt issuers with U.S.-centric eligibility requirements from registration requirements for Tier 1 offerings up to $20 million and Tier 2 offerings up to $75 million. This exemption would require audited financial statements for Tier 2 offerings and impose other eligibility criteria on issuers.
The Investment Contract Safe Harbor would provide a non-exclusive safe harbor from the term 'investment contract' in the definition of 'security.' Issuers could file a Form TR certifying that all essential managerial efforts have been completed, providing a welcome development from the status quo under SEC v. W.J. Howey Co.
