SEC Seeks Clarity on DEX Exemption, But TradFi May Push Back

a16z Crypto's General Counsel Miles Jennings and lobby group DeFi Education Fund have submitted a proposal to the SEC, seeking regulatory relief for decentralized exchanges (DEXes) and their developers. The two groups made their request on September 22nd.

The firms asked the SEC to clarify that DEX developers and apps accessing these exchanges should be exempt from Exchange Act registration requirements, as long as they handle fully non-custodial tokenized securities. Jennings called this move 'regulatory clarity' for permissionless systems.

a16z also proposed an alternative approval pathway for crypto asset trading platforms (CTPs) that function like traditional intermediaries and control user funds. This proposal aims to provide a different regulatory framework for these types of platforms.

Interestingly, the SEC has previously taken action against Uniswap in 2024, classifying tokenized stocks as securities. The industry is now seeking clarity on how this will affect DEXes that handle these tokens. However, some traditional broker-dealers may push back against a16z's requests.
