Smarter Web Sells £2.2m Worth of Shares, Cuts Coinbase Debt
The Smarter Web Company PLC has announced the sale of 2,883,000 ordinary shares for £2,163,160, with each share priced at approximately £0.75. The sale was conducted under the terms of a subscription agreement announced on December 24, 2025. The company will receive approximately 98.25% of the gross proceeds.
The company plans to use some of the net proceeds to reduce its strategic credit facility with Coinbase from approximately £19.0 million to approximately £17.0 million. This loan is secured against the company's Bitcoin holdings and can be repaid without additional charges at the company's discretion.
The Smarter Web Company operates digital services businesses focused on web design, development, and digital marketing, serving over 500 client websites. The company has adopted a Bitcoin treasury policy, using Bitcoin as its primary treasury reserve asset.
