Texas Court Dismisses Coinbase Lawsuit Under State Laws
Coinbase Global Inc. has successfully dismissed a derivative lawsuit in Texas, despite the claims stemming from a period when the company was still incorporated in Delaware. A Texas Business Court judge ruled that Texas corporate laws now apply to shareholder lawsuits against Coinbase, following its relocation to Texas in December 2025. Judge Andrea Bouressa emphasized that the company's reincorporation in Texas granted it the status of a Texas corporation, thereby subjecting it to Texas laws.
The judge's decision highlights the importance of clarity and certainty in corporate governance, particularly when shareholder claims arise from different time periods, potentially involving multiple state laws. The ruling underscores the benefits of a bright-line rule that simplifies legal proceedings by applying the laws of the state where the company is currently incorporated.
