UniCredit Seizes Control of Commerzbank with Near-50% Stake
European banking has undergone a significant shift with UniCredit's acquisition of Commerzbank. The Italian lender now holds nearly 50% of the German bank, effectively giving it control over Commerzbank without reaching the 50% majority mark. This development was made possible by the reduction in Germany's stake in Commerzbank following its post-2008 bailout.
UniCredit began accumulating shares in September 2024 and launched a formal takeover offer in early 2026, which was completed on July 8, 2026. The German government had been steadily reducing its stake in the bank over several years, creating an opportunity for UniCredit to accumulate shares.
The acquisition has sparked concerns about governance changes within Commerzbank. UniCredit's CEO, Orcel, has hinted at potential board composition changes if Commerzbank does not align with their strategic roadmap. This could lead to a contentious battle in 2027.
