Commerzbank-Takeover: UniCredit's Integration Plan Faces ECB Scrutiny

UniCredit's Andrea Orcel has unveiled a €1.4 billion synergy promise for its takeover of Commerzbank, but faces scrutiny from the European Central Bank.

The integration plan includes keeping the German unit operationally separate until 2029 or 2030 and achieving full control by the fourth quarter of 2026, pending final regulatory sign-off.

Commerzbank's strong financial performance, including a record net profit of €1.8 billion in the first half of 2026, has given its management a stronger negotiating position, with CEO Bettina Orlopp expressing willingness to cooperate with UniCredit.

The market is now focused on execution risk, with investors waiting for formal regulatory approval to allow UniCredit to take up tendered shares and start integrating Commerzbank.
