Dynatrace Secures $500 Million Credit Line with Bank of America
Dynatrace, Inc., a Delaware limited liability company and parent of Dynatrace LLC, has secured a $500 million credit line through its subsidiary Dynatrace Intermediate LLC. The agreement was made with Bank of America, N.A. as the administrative agent and various lenders.
The Credit Agreement for the senior secured revolving credit facility includes customary representations and warranties, affirmative and negative covenants, and events of default. Borrowings under the facility will be available in U.S. dollars, Euros, Pounds Sterling, and Canadian Dollars, but with a $100 million cap on non-U.S. dollar-denominated borrowings.
The Credit Facility has a maturity date of June 24, 2031, subject to an earlier springing maturity date if Dynatrace's 2031 exchangeable notes remain outstanding in excess of $300 million on the 91st day prior to their stated maturity. The agreement also includes two one-year extensions with lender consent.
The Credit Agreement requires Dynatrace and its restricted subsidiaries to maintain a Total Leverage Ratio of less than or equal to 4:1 as of each fiscal quarter's last day, with a temporary increase to 4.5:1 for four quarters following certain acquisitions exceeding $150 million in consideration.
