Merger Approvals Clear Way for Combined Banking Entity
ODNB Financial Corporation and National Capital Bancorp, Inc. have jointly announced the receipt of regulatory approvals for their merger. The Office of the Comptroller of the Currency approved the bank merger on September 29, 2026. The Federal Reserve Bank of Richmond waived approval requirements under the Bank Holding Company Act of 1956.
The combined holding company will be named National Capital Bancorp, Inc., and its common stock is expected to list on Nasdaq under the ticker symbol 'NACB'. The merger and bank merger are still subject to customary closing conditions, including approval from the Bureau of Financial Institutions of the Virginia State Corporation Commission.
ODNB Financial Corporation has $1.8 billion in total assets, while National Capital Bancorp, Inc. has $742.9 million in total assets as of June 30, 2026.
