UniCredit's €43 Billion Commerzbank Takeover Gets Preliminary ECB Nod

The European Central Bank (ECB) has made a preliminary assessment that it will approve UniCredit's acquisition of Commerzbank, valuing the deal at approximately €43 billion. This would clear the main regulatory hurdle for what would be the largest bank merger in the European Union since the global financial crisis.

The ECB's internal documents show that supervisory officials have found 'no substantive reason to object' to the deal, despite acknowledging significant differences between the two banks in terms of size, corporate culture, and management structure. The integration process is expected to be 'difficult and protracted', but this does not constitute grounds to block the transaction.

UniCredit has already acquired approximately 48% of Commerzbank through a hostile takeover, putting it just one step away from majority control. The deal has faced resistance from Commerzbank's management, employees, labor unions, and the German government, but some opposition has recently begun to soften.

The ECB supports cross-border banking consolidation as a key pathway to deepening EU financial market integration. However, Germany's financial regulator BaFin has raised concerns about UniCredit's conduct during its stake-building, describing it as 'aggressive and partly lacking transparency'.
