UniCredit's Commerzbank Takeover Bid Nears Crucial Threshold

The takeover saga surrounding Commerzbank has reached a crucial juncture as UniCredit's stake in the Frankfurt-based lender nears majority control. The Italian banking group now commands nearly 59 percent of voting rights, combining its direct stake with an additional 11 percent held through financial instruments.

This development has triggered a formal 60-working-day review window by the European Central Bank (ECB), which will scrutinize UniCredit's application to expand its holding in Commerzbank. Meanwhile, the German state remains the second-largest shareholder with approximately 12.7 percent, and Berlin has stated it will not sell its position into UniCredit's offer.

Commerzbank's operational performance has provided a sturdy platform for management as the regulatory machinery grinds forward. The bank posted a record first-half net profit of €1.8 billion, with revenues up 7 percent to €6.5 billion. Management has lifted its full-year guidance on this strong showing, raising the net profit target to at least €3.4 billion.

Chief executive Bettina Orlopp has signaled openness to engagement with UniCredit, stating the bank is 'ready for constructive talks.' However, not everyone shares that spirit of cooperation, as the works council has pushed back against UniCredit chief Andrea Orcel's suggestion that talks with employee representatives would be the next step.
