Bio-Techne Shareholders Approve Merck Acquisition
Bio-Techne Corporation shareholders have approved the company's acquisition by Merck KGaA, marking an important milestone towards completing the transaction. The Special Meeting of Shareholders was held on Wednesday, and the final voting results will be reported in a Form 8-K filing with the U.S. Securities and Exchange Commission.
The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act expired on September 18, 2026, allowing the transaction to move forward. Bio-Techne expects the deal to close by late 2026 or early 2027, subject to remaining regulatory approvals and customary closing conditions.
The Minnesota-based life sciences company provides reagents, analytical instruments, and precision diagnostics in 34 locations worldwide, employing over 3,000 people. In fiscal year 2025, Bio-Techne generated $1.2 billion in net sales.
