Bio-Techne Shareholders Approve Merck KGaA Acquisition
Bio-Techne Corporation (NASDAQ: TECH) shareholders have approved the acquisition of the company by Merck KGaA, Darmstadt, Germany. The vote marked an important milestone toward completing the transaction, according to Kim Kelderman, President and Chief Executive Officer of Bio-Techne.
The final voting results will be reported in a Form 8-K filed with the U.S. Securities and Exchange Commission (SEC). A waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 has expired, allowing the transaction to proceed. The deal is expected to close by late 2026 or early 2027, subject to satisfaction of customary closing conditions.
Bio-Techne provides life science tools, reagents, and diagnostic products. With over $1.2 billion in net sales in fiscal year 2025, the company operates globally with a presence in 34 locations and employs more than 3,000 people. The proposed acquisition will bring together two leading life sciences organizations.
