Bio-Techne Shareholders Approve Merck KGaA Acquisition Deal
Shareholders of Bio-Techne Corporation have voted to approve its acquisition by Merck KGaA. The approval came at a Special Meeting of Shareholders held on Wednesday, with final voting results to be reported in a Form 8-K filing with the U.S. Securities and Exchange Commission.
The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act expired on September 18, 2026. Bio-Techne expects the transaction to close by late 2026 or early 2027, subject to remaining regulatory approvals and customary closing conditions.
Bio-Techne President and Chief Executive Officer Kim Kelderman expressed gratitude for shareholder support, calling it an 'important milestone' towards completing the deal. The company, a Minnesota-based life sciences firm, operates in 34 locations worldwide and employs over 3,000 people.
