Bio-Techne Shareholders Approve Merck KGaA Acquisition Deal
Bio-Techne Corporation's shareholders have approved its acquisition by Merck KGaA. The approval was granted at a Special Meeting of Shareholders held on Wednesday, with the final voting results to be reported in a Form 8-K filing with the U.S. Securities and Exchange Commission.
The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act expired on September 18, 2026, and Bio-Techne expects the transaction to close by late 2026 or early 2027, subject to remaining regulatory approvals and customary closing conditions. Kim Kelderman, President and Chief Executive Officer of Bio-Techne, expressed gratitude for the strong support from shareholders.
Bio-Techne is a Minnesota-based life sciences company that provides reagents, analytical instruments, and precision diagnostics. The company operates in 34 locations worldwide and employs over 3,000 people, generating more than $1.2 billion in net sales in fiscal year 2025.
