Boeing Takes Over Spirit AeroSystems for $8.4 Billion
On December 8, 2025, Spirit AeroSystems stock was converted into Boeing shares at a ratio of 0.1955 Boeing shares for each former SPR share, effectively ending Spirit's standalone stock-market story and bringing its aircraft structures business under Boeing.
The transaction valued the acquisition at approximately USD 8.4 billion, with Boeing taking over 737 fuselage production and major structures for the 767, 777, and 787 programs.
However, the deal has come with a significant financial burden, with Boeing estimating that inherited customer deals would cost around USD 1.52 billion by September 2026, a 43 percent increase from its initial assessment in December 2025.
