Generac Lands $2.4B Amazon Deal, Equity Component Tied to Warrant Vesting
Generac's new agreement with Amazon contains two significant dollar figures, one representing expected deliveries and the other tied to a customer payment threshold. The company anticipates delivering $2.4 billion worth of backup generators to Amazon in 2027 and 2028, with the latter year averaging about $1.2 billion annually. This figure is substantial compared to Generac's existing commercial and industrial sales, which rose 29% from last year.
The larger $8 billion figure refers to a customer payment threshold required for Amazon's entire stock warrant to vest. However, this amount does not represent an order commitment but rather a milestone that would trigger the vesting of the warrant. The equity component is significant, with the maximum warrant covering approximately 2.9% of Generac's outstanding common shares.
Generac's data-center push has been expanding, and Amazon's agreement provides a quantified multiyear program to this effort. While reaching $8 billion would require substantial purchasing over the warrant's life, the initial $2.4 billion in expected deliveries is a substantial commitment from Amazon. The deal resolves one uncertainty around Generac's data-center initiative.
