Microsoft Defies SEC, Pledges to Maintain Shareholder Proposal Process
Microsoft has agreed to maintain its current shareholder proposal process through 2027, despite a contentious U.S. Securities and Exchange Commission (SEC) rule change proposed last week.
The agreement comes at the request of conservative activist Paul Chesser, who is seeking to preserve investor rights in the face of potential changes that critics say would sideline individual investors and religious groups.
Under the current process, shareholders with a stake of $2,000 or more can submit resolutions for a vote. This eligibility threshold will remain unchanged next year, even if the SEC implements its proposed rule change.
Chesser hopes that Microsoft's approach will become a model for other companies to follow and ensure that small investors have a voice in corporate governance.
