Microsoft Under Fire Over Alleged Fiduciary Breaches in AI Strategy

The probe focuses on allegations that executives overstated Copilot's success while diverting computing resources from Azure, leading to slower cloud growth and lower-than-expected AI seat adoption.
The investigation stems from a divergence between Microsoft's public claims and its operational realities. In 2023, the company introduced its proprietary generative AI chatbot, Microsoft Copilot, highlighting purported best-in-class capabilities and widespread user adoption.
However, on January 28, 2026, Microsoft disclosed that Azure growth had decelerated due to computational capacity constraints. Management attributed this slowdown to the diversion of CPU and GPU capacity toward Copilot applications and AI-related research and development, alongside drastically increased capital expenditures for AI R&D and capacity buildout.
