Nscale Files for NYSE IPO with $103B Contract Value and Nvidia Backing

Nscale, an artificial intelligence infrastructure provider backed by Nvidia, has filed for an initial public offering (IPO) on the New York Stock Exchange (NYSE). The company's SEC filing revealed a total contract value of $103.4 billion, with only $2.6 billion active as of August 31.

The largest disclosed commitments behind Nscale's contract book come from Microsoft and Anthropic, accounting for up to $88.4 billion in aggregate payments. These contracts carry an additional financing condition, which may impact the company's ability to deliver on its obligations.

Nvidia has provided significant support to Nscale through a subscription agreement worth at least $3.1 billion. This financing includes $2.1 billion of unsecured convertible loan notes and $1 billion in convertible notes or non-voting shares, depending on the timing.
