Visa Tucks Away $405 Million in Litigation Escrow Account
Visa Inc. (NYSE:V) recently deposited $405 million into its U.S. litigation escrow account, a move that will reduce the diluted share count for Class A common shareholders.
The deposit is part of Visa's U.S. retrospective responsibility plan, which aims to insulate Class A shareholders from legacy U.S. litigation liabilities by shifting the financial burden to Class B shareholders, primarily U.S. financial institutions.
The adjustment lowered the conversion rates of Class B-1, B-2, and B-3 shares into Class A stock, effectively diluting Class B equity holders.
