CFTC Grants Conditional Registration Relief to Crypto Developers
The Commodity Futures Trading Commission (CFTC) has granted conditional registration relief to software providers that develop passive tools used in regulated derivatives trading. This means that certain developers can offer their services without immediately becoming introducing brokers or associated persons of an introducing broker.
Under the CFTC's no-action position, staff will not recommend enforcement action against qualifying providers for failing to register as an introducing broker or associated person. However, this protection only applies to activities covered by the letter and remains subject to its stated conditions.
The 10 requirements for developers include ensuring that users have a direct relationship with registered exchanges or intermediaries, cannot be subject to statutory disqualification, and must not publish advertising material requiring advance approval from the National Futures Association. Providers must also file a notice with the Market Participants Division and agree to satisfy every condition.
This relief will remain in place until the effective date of any Commission rule or guidance dealing with how introducing-broker requirements apply to covered software activity. The CFTC's action provides a defined route for developers serving U.S. customers, allowing them to offer qualifying tools without taking on full duties attached to introducing-broker registration.
