Evernorth Clears SEC Hurdle for Nasdaq Listing with Armada
The Securities and Exchange Commission (SEC) has cleared the path for Evernorth Holdings, an XRP treasury company, to list on the Nasdaq. This development marks a crucial step towards the merger with Armada, a special purpose acquisition company (SPAC), which will give the combined firm access to the public markets. If shareholders approve the deal during the vote set for September 30, the new entity is expected to debut on Nasdaq under the ticker 'XRPN'.
Evernorth's registration with the SEC has been deemed effective, allowing it to merge with Armada and go public. The combined firm plans to actively manage its XRP treasury through DeFi yield, validator operations, and ecosystem investment. Backed by prominent investors including Ripple, Arrington Capital, and Pantera Capital, Evernorth aims to create an actively managed XRP treasury built on transparency and governance.
With the SEC's clearance, Evernorth is poised to become the world's largest publicly traded XRP treasury company. However, it's essential to note that this development does not imply endorsement of the merger or XRP as an investment by the SEC. The firm's own purchases have been less successful, with a roughly $500 million loss in value since its initial acquisition.
