Metaplanet Acquires Super League for $132m Bitcoin Bet
Metaplanet, a Tokyo-listed company with one of the world's largest corporate Bitcoin holdings, is set to acquire Nasdaq-listed Super League in a massive deal worth over $132 million. The acquisition will give Metaplanet a controlling stake in Superplanet, which will be renamed.
In return for contributing 2,100 BTC and $2.5 million in cash to the deal, Metaplanet will take a 95.7% stake in the company. This move is aimed at giving the Japanese firm access to US capital markets and potentially allowing it to raise funds across two investor bases.
According to Simon Gerovich, Metaplanet's chief executive, Superplanet 'is how we build in America, the deepest capital market in the world.' The proposed structure is designed around the Bitcoin treasury playbook, which involves raising capital, acquiring Bitcoin, and seeking to increase the amount of Bitcoin attributable to each common share over time.
The deal also offers an unusual combination: a sponsor with 43,000 BTC backing a Nasdaq-listed subsidiary that will have an operating business alongside its Bitcoin treasury. However, critics argue that a second listing does not create value on its own and that the critical question is whether Superplanet can consistently raise capital on terms attractive enough to increase Bitcoin per share.
Metaplanet has bet that US investors will reward a dedicated, Nasdaq-listed vehicle with access to a sponsor already experienced in the Bitcoin treasury model. The company's five-year lock-up on shares it receives is intended to reinforce its long-term strategic position rather than a quick financial maneuver.
