Parataxis Ethereum has officially scrapped its planned merger with Parataxis Korea, citing unresolved legal disputes and financial risks. Both companies' boards approved the termination on October 6, withdrawing a shareholder meeting scheduled for November 27. The decision came amid ongoing litigation by Parataxis Korea against the Korea Exchange's August delisting order, which created significant uncertainty about the merger's timeline and structure.
The merger, initially agreed upon in April, aimed to simplify the group's structure and enhance financial stability. However, Parataxis Korea's delisting threat and potential shareholder appraisal claims posed substantial liquidity risks for Parataxis Ethereum. The company's shares closed 1.7% higher on October 6 despite the merger's cancellation, reflecting investor relief over the avoided financial strain.
Parataxis Korea continues to challenge its delisting through a court injunction, while Parataxis Ethereum maintains its Ethereum-focused treasury strategy. The company holds 10,449 ETH, making it one of the larger listed corporate holders globally. The delisting dispute remains the critical factor in Parataxis Korea's future, with all merger-related procedures now canceled.
