SEC Clarifies Stance on Token Buybacks and Staking Tokens

The US Securities and Exchange Commission (SEC) has clarified its stance on certain crypto-related activities, including token buybacks and staking tokens. According to new guidance issued by the SEC's Division of Corporation Finance, these actions may not necessarily fall under federal securities laws.

The clarification focuses on token buybacks, where a network is already functional. In such cases, announcing a buyback of a non-security crypto asset would not amount to a promise to perform essential managerial efforts under the Howey test.

However, if a network is not yet functional and a buyback is presented as generating yield or returns for token holders, the analysis can differ. In this scenario, a buyback could contribute to an investment contract.
