SEC's Deregulation Plan Sparks Legal Fears Amid CLARITY Act Failure
The Securities and Exchange Commission (SEC) has proposed a package of exemptions known as Regulation Crypto Assets, aimed at facilitating capital formation and innovation in the crypto industry.
However, former SEC official John Reed Stark has slammed the proposal as illegal, arguing that it exceeds the agency's exemptive authority under Securities Act Section 28 and Exchange Act Section 36.
Stark, who founded and led the SEC's Office of Internet Enforcement for over a decade, believes the rule would let issuers self-certify their instruments as non-securities, subdelegating the definition of an instrument to their promoters.
The regulation is part of the SEC's efforts to provide clarity in the industry after the CLARITY Act failed to pass cloture on Tuesday. Stark warns that the proposal usurps Congressional authority and could lead to a major legal challenge against the SEC.
