Texas Judge Dismisses Coinbase Lawsuit Under New State Laws

Coinbase Global Inc. has successfully dismissed a derivative lawsuit in Texas, following its relocation from Delaware. A Texas Business Court judge ruled that Texas corporate laws now apply to shareholder lawsuits against the cryptocurrency exchange, even if the claims stem from its time as a Delaware-incorporated company.

The decision comes after Coinbase completed its move to Texas in December 2025. Judge Andrea Bouressa stated that the company’s reincorporation granted it the status of a Texas corporation, subject to Texas laws. The judge emphasized the importance of clarity and certainty in such cases, particularly when claims span different periods and jurisdictions.

Bouressa noted that the ruling ensures that shareholders’ claims are governed by a single set of laws, avoiding conflicts between multiple states. This decision may set a precedent for other companies considering reincorporation to Texas.
