SoftBank Seeks $6.3 Billion from Japanese Retail Investors for AI Ambitions

SoftBank Group's shares dropped over 5% on Monday after announcing a one-trillion-yen bond sale, aiming to raise $6.3 billion for artificial intelligence investments, including OpenAI commitments.

The seven-year notes carry an indicative coupon of 4.3-4.9%, with pricing set for September 4 and issuance on September 17. The proceeds will fund AI-related investments, including a separate $10 billion margin loan secured against the OpenAI stake.

SoftBank has pledged over $60 billion to OpenAI, but estimates suggest a funding gap of more than $20 billion remains after this bond sale.

The rating agencies have different views on SoftBank's creditworthiness: Japan's JCR is expected to assign an A rating, while S&P rates the company at BB+, indicating a notch below investment grade. The discrepancy highlights why SoftBank is turning to its home market for funding, as Japanese banks have become cautious.

Japanese retail investors appear willing to back Masayoshi Son's vision in exchange for attractive coupons in a volatile global rate environment. The final pricing will serve as a referendum on SoftBank's credit story and may signal how much of a premium investors demand for the risks embedded in the company's balance sheet.
