$405M Visa Escrow Deposit Trims Class B Conversion Rates, Share Counts
Visa Inc., a leading payments technology company, has authorized a $405 million deposit to its U.S. litigation escrow under the retrospective responsibility plan, effective September 18, 2026.
This move triggered reductions in class B-1, B-2, and B-3 conversion rates and as-converted share counts. The conversion rates for these classes decreased: B-1 from 1.5445 to 1.5400, B-2 from 1.5014 to 1.4924, and B-3 from 1.4953 to 1.4773.
The as-converted share counts also fell: B-1 down approximately 9,804 to 3,357,351; B-2 down around 4,377 to 726,311; and B-3 down about 1,089,926 to 89,510,039. According to Visa, these conversion adjustments have the same EPS effect as repurchasing class A stock.
