American Express Exits Global Business Travel Group After Merger Completion

Global Business Travel Group (NYSE:GBTG) has officially undergone a significant change in ownership after American Express Company completed its exit from the company following the merger's closure on September 29, 2026. The news comes as part of an Amendment No. 4 filed by American Express with the Securities and Exchange Commission.

The merger saw Merger Sub merge into Global Business Travel Group, Inc., making the issuer a wholly owned subsidiary of Parent. As per the agreement, every outstanding share of Common Stock was automatically cancelled, extinguished, and converted into the right to receive cash equal to $9.50 per share.

American Express Company held 157,786,199 shares in Global Business Travel Group, Inc., which were all cancelled as part of the merger. The company's beneficial ownership in the Common Stock has dropped to zero, with the filing confirming that it no longer holds any shares or voting power.
