Amex Exits Global Business Travel Group After Merger Completion

American Express has made its exit from Global Business Travel Group after completing the merger on September 29, 2026. The company filed Amendment No. 4 to its Schedule 13D, confirming it no longer holds beneficial ownership exceeding five percent of Global Business Travel Group's Class A common stock.

The merger resulted in Merger Sub merging into the issuer, which now operates as a wholly owned subsidiary of the Parent company. At the effective time of the merger, all outstanding shares of Common Stock were automatically cancelled and converted into the right to receive cash at $9.50 per share.

American Express held 157,786,199 shares, which were cancelled and converted accordingly. As a result, the company no longer beneficially owns any Common Stock shares. The Voting and Support Agreement terminated as per its terms at the merger's effective time, except for provisions explicitly surviving termination.
