Moderna Seeks $2 Billion in Convertible Bonds Amidst Cancer Therapy Success

Moderna plans to issue $2 billion in convertible bonds due 2032 through a private placement to qualified institutional buyers. The company also has the option to buy an additional $300 million, bringing the total financing amount up to $2.3 billion.

The notes will be senior obligations of Moderna with no regular interest and no principal accretion over time. Upon conversion, the company may settle in cash or shares of common stock at its discretion.

A portion of the net proceeds from the sale will be used to pay for capped call transactions, which are hedging arrangements aimed at reducing potential common stock dilution upon conversion of the convertible notes. The remainder will be used for general corporate purposes, including supporting the expansion of its oncology business and repaying debt.

Moderna's shares fell 5% to $142.31 following the announcement, which comes just a week after the company surged by 177%, adding $44.5 billion to its market capitalization on August 19. This surge was largely driven by positive preliminary results from a late-stage trial of an experimental skin cancer therapy in combination with Merck's Keytruda.
