Schneider Electric, a global leader in energy technology, has agreed to acquire PTC, a software company specializing in industrial product design, engineering, and data management. The all-cash deal values PTC at approximately $22.6 billion, with Schneider Electric offering $205 per share for 100% of PTC's share capital. PTC serves 30,000 customers and generated €2.4 billion in revenue in 2025, expanding Schneider Electric's capabilities in industrial software and AI.

Schneider Electric's CEO, Olivier Blum, praised PTC's track record of growth and innovation, highlighting the strategic fit with Schneider's existing software arm, AVEVA, and its pending acquisition of Cognite. The combined entity aims to create a leading industrial software and AI franchise, offering solutions that bridge physical and digital systems across the product lifecycle. Blum emphasized the potential to accelerate innovation and unlock new opportunities for customers, employees, and shareholders.

PTC's CEO, Neil Barua, expressed excitement about the merger, noting that it would elevate the company's impact globally. PTC's software, including computer-aided design (CAD) and lifecycle management tools, is used by major manufacturers like Caterpillar. The acquisition is expected to enhance Schneider Electric's ability to provide actionable intelligence and AI-driven outcomes, supporting customers in achieving business goals across design, control, and data systems.

Caterpillar, one of PTC's key partners, recently announced a $1 billion investment to expand its manufacturing capacity in North Carolina. The move underscores the growing demand for industrial equipment and the role of digital tools in optimizing production. As Caterpillar and Schneider Electric push AI integration, the acquisition positions both companies to lead in industrial intelligence and automation.
