Tamarack and Headwater Merge for C$10 Billion Clearwater Play
Tamarack Valley Energy Ltd. and Headwater Exploration Inc. have signed an all-stock deal worth C$10 billion, combining their assets in Alberta's fast-growing Clearwater oil play.
The agreement, announced on September 8, would merge the two companies under one public-company umbrella, making Tamarack the largest producer in the Clearwater play with more than 80,000 barrels of oil equivalent per day of run-rate production and over C$50 million in annual synergies.
Under the terms of the deal, each Headwater shareholder would receive one Tamarack common share, leaving Tamarack's pre-deal shareholders with 66.5% ownership of the combined company and Headwater investors with 33.5%. The transaction remains subject to shareholder, court, and regulatory approvals.
The companies plan to transfer non-core exploration assets to a newly formed company called Tributary Exploration Inc., which is expected to seek public listing.
