Hyperscale Data Spins Out Bitcoin Mining Subsidiary

Hyperscale Data, Inc., a company focused on cryptocurrency mining and AI data center development, is planning to separate its Bitcoin mining operations into a new subsidiary called Patriot BTC. The proposed move aims to give the Bitcoin mining business a distinct identity and focused leadership, according to Milton 'Todd' Ault III, Executive Chairman of Hyperscale Data.

The company intends to transfer operating assets used in its cryptocurrency mining operations to Patriot BTC, including its Montana data center, Bitcoin miners, mining equipment, and related infrastructure. This move is expected to separate the Bitcoin mining business from its Michigan AI data center strategy, which has different capital requirements and operating priorities.

Hyperscale Data expects to provide additional information regarding Patriot BTC's capitalization, final mining assets, transaction structure, and trading structure as matters are determined and approved. However, there is no assurance that Patriot BTC will be formed as contemplated or that any transaction will be completed.
