Anthropic's highly anticipated IPO is set to enrich two of the world's largest tech companies, Amazon and Alphabet. The AI startup's confidential June S-1 filing has revealed a target listing window in mid-October, with Goldman Sachs, Morgan Stanley, and JPMorgan leading the offering.

The private meetings held by Chief Financial Officer Krishna Rao have generated significant interest, with valuation numbers approaching $2 trillion, roughly double the $965 billion mark set during its Series H round in May. This enormous valuation will not only test AI valuations but also create a significant financial boost for Amazon and Alphabet.

Amazon holds an estimated 15% to 21% equity stake in Anthropic, built through a structured capital layout that includes an early $8 billion tranche, $5 billion added in April 2026, and up to $20 billion tied to commercial milestones. In return, Anthropic has committed over $100 billion to Amazon Web Services and Trainium hardware over the next decade.

The financial dividend is already landing on Amazon's balance sheet: Q2 2026 non-operating income contained roughly $53 billion in mark-to-market adjustments from Anthropic, pushing GAAP earnings per share far past consensus estimates. For investors, this exposure means Amazon increasingly trades not just as an e-commerce and cloud platform but also as a leveraged holding company for premier private AI equity.

Alphabet maintains a 14% to 15% position in Anthropic, a stake contractually capped to manage the competitive tension between Google's internal Gemini models and Anthropic's Claude. Despite this rivalry, Alphabet committed up to $40 billion in additional funding in April 2026, securing a massive commercial lock-in: Anthropic pledged roughly $200 billion toward Google Cloud, including access to up to 1 million Tensor Processing Units.

The reported earnings contraction triggered by a soft IPO pricing or initial trading will test how much of Big Tech's recent outperformance was driven by core operating cash flows versus paper accounting adjustments. The feedback loop created for mega-cap tech valuations underscores the importance of closely monitoring Anthropic's listing and its impact on Amazon, Alphabet, and the broader market.
