The company filed a Certificate of Elimination with the Secretary of State of the State of Delaware on August 11, 2026, effectively removing all matters related to the Series U stock from its Restated Certificate of Incorporation.

This move follows the full redemption of all outstanding shares of the Series U Preferred Stock on August 10, 2026. The company also filed a new Restated Certificate of Incorporation that incorporates the terms of its new 6.500% Fixed-Rate Reset Non-Cumulative Preferred Stock, Series AA.

The updated charter reflects two key changes: the incorporation of the Certificate of Designations for the Series AA preferred stock and the formal elimination of the Series U Preferred Stock provisions. This strategic move is part of Goldman Sachs' ongoing capital management strategy to streamline its preferred stock structure and introduce new preferred securities with updated terms.
