Microsoft Agrees to Keep Shareholder Proposal Rules Until 2027
Microsoft has agreed to maintain its existing rules for shareholder proposals until at least 2027. This decision comes after activist investor Paul Chesser requested that Microsoft keep its current eligibility requirements for investors seeking to put resolutions to a shareholder vote, according to Reuters.
The proposed change would have seen the U.S. Securities and Exchange Commission (SEC) end its oversight of the shareholder proposal process and shift it to state officials. Critics argue that this could make it harder for individual investors and other groups to bring proposals before shareholders.
Microsoft's annual meeting is scheduled for December 8, and Chesser's group has pending shareholder proposals at Procter & Gamble (P&G) and Oracle.
